UP & AT’EM COMMUNITY INITIATIVE WEBSITE TERMS & CONDITIONS **Effective Date:** October 13, 2026 **Last Updated:** October 13, 2026 **Website:** https://www.upandatem.info **Primary Contact:** Help@upandatem.info **Service Area:** Commonwealth of Massachusetts --- ### § 1. INTRODUCTION AND ACCEPTANCE OF TERMS Welcome to the official website of Up & At’Em Community Initiative (hereinafter referred to as the “Initiative,” “Up & At’Em,” “we,” “us,” or “our”). These Terms and Conditions (“Terms”) establish the rules, responsibilities, limitations, and conditions governing access to and use of our website, online resources, communications, community features, and related digital services. These Terms apply to individuals accessing or using our website, including prospective clients, current participants, referral partners, volunteers, prospective board members, community members, contributors, and other visitors. By accessing or using our website, creating an account, submitting an inquiry, or utilizing an online service, you acknowledge that you have read and understand these Terms and agree to comply with them to the extent an enforceable agreement is formed under applicable law. Certain activities may require separate affirmative consent, participation agreements, privacy authorizations, or service-specific terms. Merely visiting a publicly accessible page does not constitute consent to unrelated contractual obligations. If you disagree with these Terms, please discontinue use of the affected website services. Nothing contained herein is intended to waive, diminish, or restrict any consumer protection, privacy, accessibility, or other legal right that cannot lawfully be waived. ### § 2. ORGANIZATIONAL IDENTITY AND CURRENT LEGAL STATUS **IMPORTANT DISCLOSURE — ORGANIZATIONAL STATUS** Up & At’Em Community Initiative is currently operating as a developing, community-focused initiative founded by James A. McGillicuddy. As of the effective date of these Terms, the Initiative has not yet completed its planned incorporation as a Massachusetts nonprofit corporation and does not represent itself as an IRS-recognized organization exempt from federal income tax under Section 501(c)(3) of the Internal Revenue Code. Our organizational development objectives include pursuing an appropriate nonprofit corporate structure, implementing formal governance practices, developing a founding board of directors, establishing organizational policies, and applying for applicable tax-exempt recognition when eligible. References throughout this website to our “mission,” “community initiative,” “programs,” “board development,” “charitable objectives,” or “future nonprofit operations” are descriptions of our present activities or intended organizational development. Such references shall not be interpreted as representations that the Initiative currently possesses nonprofit corporate status, federal tax-exempt recognition, governmental accreditation, charitable solicitation authorization, or licensure not expressly verified. The Initiative may update its organizational disclosures and governing documents as its legal structure evolves. Any future incorporation, tax-exempt approval, fiscal sponsorship arrangement, or other change in legal status shall be communicated accurately and shall not be presumed from statements describing future plans. ### § 3. OUR MISSION AND NATURE OF SERVICES Up & At’Em Community Initiative is a peer-led, Massachusetts-based community resource navigation and advocacy initiative. Our mission is to assist individuals and communities in identifying available resources, understanding service systems, overcoming barriers, and making informed decisions regarding their personal circumstances and goals. Our activities may include: - Housing navigation, homelessness resources, and housing application guidance. - Addiction recovery support and connections to treatment or recovery resources. - Mental health resource navigation and behavioral health service referrals. - Public benefits information, including assistance navigating relevant benefit programs. - Employment, vocational training, and educational resource connections. - Transportation and essential community resource referrals. - Community advocacy, service coordination, and follow-up assistance. - Referrals to outside organizations, agencies, treatment providers, and community partners. - Peer-led educational activities, informational programming, and community engagement. The specific services available may vary according to staffing, organizational capacity, eligibility requirements, funding, geographic limitations, partner participation, and other operational considerations. Publication of a service description does not constitute a guarantee of enrollment, immediate assistance, continuous case management, financial support, housing placement, or any particular result. ### § 4. NO GUARANTEE OF SERVICES, ELIGIBILITY, OR OUTCOMES Up & At’Em makes reasonable efforts to provide accurate information, meaningful resource connections, and appropriate follow-up within its available capacity. However, we do not control third-party agency decisions, program availability, funding, admission criteria, application processing, waiting lists, or service outcomes. Accordingly, we do not guarantee: - Admission into shelter, housing, treatment, or recovery programs. - Placement into subsidized or permanent housing. - Approval of public benefits, employment, educational programs, or financial assistance. - Acceptance of any application, grievance, appeal, or reasonable accommodation request. - Availability of appointments, referrals, transportation, or specific service providers. - Any particular response or decision by a government agency, healthcare organization, landlord, employer, or other outside entity. Information or guidance provided by the Initiative shall not be interpreted as a promise, warranty, or guarantee of a specific outcome. Clients and participants remain responsible for reviewing applicable requirements, providing accurate information, meeting deadlines, and making their own informed decisions. ### § 5. NO MEDICAL, LEGAL, OR FINANCIAL PROFESSIONAL RELATIONSHIP Unless expressly disclosed otherwise in a separate written agreement, Up & At’Em Community Initiative does not provide licensed medical treatment, psychiatric care, psychotherapy, legal representation, financial planning, or other regulated professional services. Website content, peer-support communications, referrals, educational materials, and general guidance are provided for informational and resource-navigation purposes. Such information does not establish a physician-patient, therapist-patient, attorney-client, fiduciary, or other regulated professional relationship. Individuals requiring medical, mental health, legal, or financial advice should consult appropriately qualified and licensed professionals. Information provided through this website should not be used to delay necessary emergency services, medical treatment, legal representation, or professional assistance. ### § 6. NON-EMERGENCY SERVICES AND CRISIS DISCLAIMER **UP & AT’EM COMMUNITY INITIATIVE IS NOT AN EMERGENCY RESPONSE PROVIDER.** The Initiative is not a crisis hotline, emergency shelter dispatch service, emergency medical provider, suicide prevention hotline, or continuously monitored emergency communication system. Website contact forms, email accounts, social media messages, appointment requests, and client portal communications are not monitored 24 hours per day. Messages may not be reviewed or answered immediately. If you or another individual requires urgent assistance: **Immediate danger or medical emergency:** Call 911. **Suicide, mental health, or emotional crisis:** Call or text 988 to reach the Suicide & Crisis Lifeline. **General Massachusetts community resource assistance:** Dial 211 or visit https://mass211.org. Contacting the Initiative does not replace contacting emergency responders, crisis professionals, or other appropriate emergency resources. Users should never rely on our website, messaging systems, or client portal for emergency intervention. ### § 7. WEBSITE ACCESS AND PERMITTED USE Visitors may use this website for lawful personal, educational, informational, organizational, and community-resource purposes. By using the website, you agree not to: - Provide knowingly false or misleading information. - Impersonate another individual or organization. - Attempt unauthorized access to website systems, accounts, or confidential records. - Introduce malicious software, automated attacks, or other harmful technology. - Harass, threaten, exploit, or discriminate against other users, volunteers, staff, or community participants. - Publish another person's confidential information without proper authorization. - Use the website to facilitate fraud, unlawful solicitation, or other prohibited activity. - Misrepresent an affiliation with, authority to speak for, or employment by the Initiative. - Disrupt the availability, security, or normal operation of website services. We reserve the right, subject to applicable law, to restrict access, investigate suspected misuse, remove inappropriate content, or suspend accounts when reasonably necessary to protect users, organizational operations, or information security. ### § 8. ELIGIBILITY AND ACCOUNT REGISTRATION Certain services, events, groups, and digital features may require account creation, registration, verification, or organizational approval. Users must provide accurate and reasonably current registration information. Individuals registering for services independently should be at least 18 years of age, unless participation by a minor is expressly permitted through an approved program with appropriate parent or legal guardian involvement and any legally required consent. Our website and client portal are not designed to invite children younger than 13 to independently submit personal information. Any services involving minors must be subject to appropriate safeguards, consent requirements, and applicable federal and Massachusetts law. We may deny or limit registration if eligibility requirements cannot be satisfied or if doing so is reasonably necessary for privacy, safety, or compliance purposes. ### § 9. CLIENT PORTAL AND THIRD-PARTY DIGITAL PLATFORMS The Initiative may provide access to a separate online client and service coordination portal at: https://upatemcommunity.lovable.app The portal is intended to support authorized activities such as account management, communications, resource navigation, referrals, tasks, goals, and document-related workflows. The portal is hosted through third-party technology services and may be subject to additional provider terms, privacy practices, operational limitations, and security requirements. Access to the portal does not guarantee enrollment as a client, acceptance of a referral, assignment of a caseworker, or any particular service. Users are responsible for maintaining the confidentiality of their account credentials and promptly reporting suspected unauthorized access. Authorized staff, volunteer, and administrative accounts may receive different access permissions based on their assigned responsibilities. Users must not share account access, attempt to view information belonging to others, or circumvent assigned permissions. The Initiative may update, suspend, restrict, or discontinue portal functions when reasonably necessary for system maintenance, privacy protection, security, compliance, or operational reasons. **Important:** The availability of a password-protected portal does not, by itself, establish HIPAA compliance or guarantee that the platform is appropriate for transmitting all categories of sensitive information. Users should not upload medical records, Social Security numbers, financial account information, government identification, or other highly sensitive documents unless specifically instructed to use an approved and appropriately protected submission process. Where separate client consent, privacy notices, release-of-information documents, or service agreements apply, those documents shall govern the relevant service-specific matters. ### § 10. INFORMATION PROVIDED BY USERS Individuals who submit information through our website, contact forms, email, registration pages, or approved platforms are responsible for ensuring that the information they provide is accurate to the best of their knowledge. Users should provide only information reasonably necessary for the purpose of their inquiry or authorized service. Submission of information does not automatically establish a client relationship, guarantee acceptance into a program, or require the Initiative to provide services. We may request additional information or clarification when necessary to evaluate an inquiry or coordinate a requested service. When information concerns another individual, the person submitting it is responsible for having an appropriate legal basis or authorization to share that information. Submitting an inquiry regarding another person does not authorize unrestricted access to that individual's records. ### § 11. PRIVACY, CONFIDENTIALITY, AND DATA PROTECTION Up & At’Em recognizes the sensitive nature of information that may arise during housing navigation, recovery support, mental health resource coordination, and related activities. We are committed to developing and maintaining privacy practices and reasonable information safeguards appropriate to our operations and applicable legal requirements. The collection, use, storage, disclosure, and retention of personal information shall be addressed more fully in the Initiative's separately published Privacy Policy and applicable client-specific documents. Information may be processed through third-party website, communication, forms, payment, and client-management service providers as necessary to operate the services described. Electronic communication and digital storage involve inherent risks. No internet-based system can guarantee absolute security. Individuals should avoid transmitting highly sensitive information through ordinary email, public group discussions, social media, or unsecured forms. The Initiative will not characterize its services as HIPAA-compliant unless the legal applicability, technical safeguards, vendor arrangements, and required documentation have been appropriately assessed. Where applicable, information practices shall be subject to relevant federal and Massachusetts privacy, consumer protection, and data security requirements. Nothing in these Terms authorizes the Initiative to disregard confidentiality commitments, contractual duties, legally protected information, or statutory privacy rights. ### § 12. REFERRALS AND THIRD-PARTY ORGANIZATIONS The Initiative may refer users to independent organizations, including housing providers, shelters, sober living residences, treatment programs, government agencies, legal service providers, educational institutions, and employers. Such organizations are separate from the Initiative unless an authorized affiliation or agreement is expressly identified. A referral does not constitute an endorsement, certification, guarantee of quality, or guarantee of program acceptance. Third-party organizations retain responsibility for their respective services, policies, professional qualifications, admission standards, fees, safety procedures, and legal obligations. The Initiative is not automatically responsible for the acts or omissions of an independent provider merely because a referral was furnished. However, nothing in these Terms excludes responsibility arising from the Initiative's own conduct where liability cannot lawfully be disclaimed. Users are encouraged to verify the qualifications, licensing, certification, fees, eligibility rules, and suitability of outside programs before participation. ### § 13. COMMUNITY GROUPS, EVENTS, AND ONLINE PARTICIPATION Our website may provide information about educational workshops, recovery meetings, community groups, virtual activities, events, and collaborative initiatives. Participation may be subject to additional community standards, registration requirements, or event-specific terms. Participants must treat others respectfully and refrain from harassment, discriminatory conduct, threats, unauthorized recording, or disclosure of another participant's personal information. Information shared by other participants should be treated with discretion. However, participation in an online community forum or group does not create an absolute guarantee of confidentiality, particularly where information is voluntarily disclosed to multiple participants. The Initiative may establish moderation rules, restrict harmful conduct, or remove content that violates applicable policies. The availability of a meeting, program, or event may change, and we may cancel, reschedule, or modify activities when reasonably necessary. Where an activity requires separate professional facilitation, consent, or safety procedures, those conditions will be communicated as applicable. ### § 14. VOLUNTEERS, INTERNS, STAFF, AND BOARD PARTICIPATION Information regarding volunteering, internships, staff opportunities, leadership positions, advisory participation, or founding board recruitment is provided for informational and application purposes. Submitting an application, interest form, résumé, or inquiry does not establish employment, volunteer placement, board membership, fiduciary authority, or entitlement to a particular role. Appointments and participation are subject to applicable eligibility requirements, organizational policies, selection procedures, background review where lawful and appropriate, and any necessary written agreements. No individual may represent themselves as an authorized director, officer, staff member, caseworker, agent, or representative of the Initiative without appropriate authorization. Prospective board positions relating to a future nonprofit corporation are subject to lawful organizational formation and governance procedures. Separate agreements may govern confidentiality, conflicts of interest, professional boundaries, duties, intellectual property, and access to organizational information. ### § 15. CONTRIBUTIONS, DONATIONS, AND FINANCIAL SUPPORT **IMPORTANT CONTRIBUTION AND TAX-STATUS DISCLOSURE** Up & At’Em Community Initiative is in a pre-incorporation stage of organizational development and is not currently represented as an IRS-recognized Section 501(c)(3) charitable organization. Financial contributions, sponsorships, donated goods, and other forms of support may be requested or accepted only where legally permissible and subject to applicable registration, solicitation, disclosure, payment-processing, and recordkeeping requirements. **Contributions made directly to the Initiative must not be assumed to qualify as tax-deductible charitable donations.** Unless a separate qualifying legal arrangement is established and documented, the Initiative makes no representation that a payment or contribution is deductible as a charitable contribution for federal or state income tax purposes. Any future tax-exempt status, fiscal sponsorship, or other legally qualifying arrangement must be evaluated according to its actual terms and effective dates. Where contribution opportunities are lawfully available: a. Contributions must be made voluntarily. b. No contribution shall guarantee access to housing, treatment, benefits, employment, or other services. c. Contributors should review all applicable financial disclosures before submitting payment. d. Contributions may be subject to third-party payment processor terms and fees. e. Any recurring payment arrangement must be clearly disclosed and separately authorized. f. Refund requests will be reviewed in accordance with applicable law, the nature of the transaction, and any specifically disclosed refund terms. g. The Initiative will not promise that a contribution is tax-deductible without a legally supportable basis for that representation. Potential contributors should consult a qualified tax professional regarding their individual circumstances. Any online contribution feature shall remain subject to required Massachusetts charitable solicitation compliance and other applicable law. ### § 16. FEES, SERVICE AGREEMENTS, AND ORGANIZATIONAL PARTNERSHIPS Certain services, collaborative arrangements, or organizational support programs may be offered under separately negotiated agreements. These may include services arranged with recovery housing providers, sober living organizations, community partners, or other authorized entities. Any applicable fees, billing schedules, deliverables, cancellation terms, responsibilities, and service limitations shall be established in a separate written agreement when required. The Initiative does not represent that services are reimbursable through MassHealth, Medicare, Medicaid, private insurance, or another third-party payer unless a lawful billing arrangement has been specifically established and appropriately disclosed. Nothing on the website creates an automatic obligation for a government program, insurer, agency, or other third party to reimburse any service. In the event of a conflict between these general website Terms and a valid, separately executed service agreement, the separate agreement shall govern the specific services addressed by that agreement, subject to applicable law. ### § 17. COMMUNICATIONS AND RESPONSE TIMES Users may contact the Initiative through available email, telephone, text messaging, contact forms, or approved digital communication channels. We generally aim to respond to routine inquiries within approximately 24–48 hours, although this timeframe is not guaranteed. Response times may vary due to staffing, business hours, holidays, technical difficulties, or the volume and complexity of inquiries. Providing contact information for an inquiry authorizes us to respond to that inquiry through appropriate communication methods, subject to applicable law. Submitting a contact form does not automatically constitute consent to receive unrelated promotional messages, automated marketing calls, or marketing text messages. Where separate consent is legally required for particular communications, such consent shall be obtained through an appropriate affirmative process. Users may contact us to request changes to nonessential communications or inquire about available unsubscribe procedures. ### § 18. WEBSITE CONTENT AND INFORMATIONAL ACCURACY The Initiative endeavors to maintain useful, relevant, and reasonably accurate website information. However, eligibility standards, public benefits rules, housing procedures, service availability, organizational contacts, government programs, and community resources may change without notice. Website content may become outdated or incomplete. The Initiative does not warrant that every listing, article, referral resource, external link, or informational publication will remain accurate, current, complete, or applicable to every individual's circumstances. Users are encouraged to confirm important information with the relevant government agency, service provider, licensed professional, or other authoritative source. Publication of information should not be interpreted as an official statement on behalf of a government agency or outside organization. ### § 19. INTELLECTUAL PROPERTY AND ORGANIZATIONAL BRANDING Unless otherwise stated, original website materials created by or lawfully licensed to the Initiative may include written content, program descriptions, graphics, photographs, logos, branding, documents, educational resources, and other creative materials. Such materials are protected to the extent provided by applicable copyright, trademark, contract, and other intellectual property laws. The name “Up & At’Em Community Initiative,” its branding, logo, and related identifiers may not be used in a manner that falsely suggests sponsorship, authorization, partnership, or organizational affiliation. Nothing in these Terms represents that every name, slogan, logo element, or design has received federal or state trademark registration. Visitors may view and use publicly accessible content for lawful personal and informational purposes, subject to applicable rights and reasonable restrictions. Reproduction, commercial redistribution, misleading modification, or unauthorized use of protected organizational materials may require prior written permission. Nothing herein limits rights granted under fair use or other applicable law. ### § 20. USER-SUBMITTED CONTENT AND OWNERSHIP Users may submit messages, documents, comments, inquiries, or other materials through authorized website features. Users retain their applicable ownership rights in original content they lawfully submit. By submitting materials for a requested service, users grant the Initiative a limited, nonexclusive authorization to receive, store, process, and use those materials solely as reasonably necessary to provide or administer the requested service, comply with applicable law, and fulfill authorized operational purposes. This provision does not authorize unrestricted public publication of private documents or personal information. Public use of identifiable client stories, testimonials, photographs, or other personal materials will be subject to separate authorization where required. Users must not submit materials that unlawfully infringe another person's intellectual property, privacy, or other protected rights. ### § 21. EXTERNAL LINKS AND THIRD-PARTY TECHNOLOGY This website may contain links to websites, applications, service providers, government agencies, community partners, social media platforms, and external information sources. Such third-party websites and services operate under their own terms, privacy notices, security controls, and applicable legal obligations. The Initiative does not necessarily control their content, availability, business practices, data retention, or technical operations. The inclusion of an external link does not automatically establish a sponsorship, formal partnership, professional endorsement, or guarantee of accuracy. Users should review third-party terms and privacy policies before submitting personal information or engaging in transactions outside our website. ### § 22. ACCESSIBILITY AND NONDISCRIMINATION Up & At’Em is committed to promoting respectful, equitable, and accessible community engagement. We seek to make information and available services usable by individuals with differing needs and abilities. We do not intend to exclude individuals from available services on the basis of protected characteristics in violation of applicable law. Reasonable requests concerning website accessibility, communication assistance, or participation barriers may be directed to Help@upandatem.info. We will review such requests in light of applicable legal obligations, available resources, technical limitations, and the nature of the requested accommodation. Nothing in these Terms limits any legally protected right to nondiscrimination or reasonable accommodation. ### § 23. WEBSITE AVAILABILITY AND TECHNICAL INTERRUPTIONS We may modify, maintain, suspend, or discontinue website features or digital services when reasonably necessary for operational, security, legal, or technical reasons. The website may experience temporary interruptions resulting from maintenance, third-party outages, software updates, connectivity failures, or other circumstances. We do not guarantee continuous, error-free, or uninterrupted availability. Where reasonably practicable, we may provide notice of material planned disruptions affecting registered users. This section does not relieve the Initiative of any duty imposed by applicable law or a separately enforceable agreement. ### § 24. DISCLAIMER OF WARRANTIES To the extent permitted by applicable law, publicly available website content and general informational features are provided on an “as available” basis. The Initiative does not make an express or implied guarantee concerning uninterrupted website availability, third-party outcomes, universal program eligibility, or the accuracy of every externally supplied resource listing. Nothing in this section excludes warranties, duties, or rights that cannot lawfully be excluded. Specific commitments contained in a separately executed agreement remain subject to the terms of that agreement and applicable law. ### § 25. LIMITATION OF LIABILITY To the fullest extent permitted by applicable law, the Initiative shall not be responsible solely by reason of providing general website information for losses arising from independent third-party decisions, unavailable public programs, inaccurate external listings, or interruptions outside its reasonable control. The Initiative does not guarantee results arising from referrals, applications, service coordination, or reliance upon general educational materials. Nothing in these Terms excludes or limits liability for fraud, willful misconduct, gross negligence, or any other liability that cannot lawfully be excluded or limited. Nothing herein restricts statutory consumer rights, lawful remedies, or duties that apply notwithstanding contractual language. Any dispute concerning an individualized service or paid arrangement may also be governed by a separate written agreement. ### § 26. REPORTING SAFETY, PRIVACY, OR CONDUCT CONCERNS Users who believe that information has been mishandled, an account has been accessed improperly, or website conduct violates these Terms are encouraged to contact the Initiative. Reports should include sufficient information to identify the concern without unnecessarily transmitting additional sensitive material. We may review reported concerns and take reasonable action within our authority, including requesting clarification, restricting access, correcting information, preserving relevant records, or referring matters to an appropriate authority when legally required or otherwise justified. Submitting a report does not guarantee a particular investigation outcome or resolution timeframe. Individuals retain the right to contact governmental regulators, law enforcement, legal counsel, or other appropriate authorities as permitted by law. ### § 27. CHANGES TO THESE TERMS The Initiative reserves the right to update these Terms to reflect changes in website functionality, services, organizational development, applicable law, security practices, or operational requirements. The current version will identify its effective or last-updated date. Material changes may require additional notice or renewed consent where applicable law or the nature of the change requires it. Changes shall not retroactively eliminate rights that have already accrued or alter existing contractual commitments where prohibited by law. Continued use after properly communicated changes may constitute acceptance only to the extent permitted by applicable law and the circumstances of the user's agreement. ### § 28. GOVERNING LAW AND DISPUTE RESOLUTION These Terms shall be interpreted in accordance with the laws of the Commonwealth of Massachusetts and applicable federal law, without displacing mandatory legal protections that may apply to users. Users are encouraged to contact the Initiative first regarding concerns arising from website use so that reasonable opportunities for clarification or informal resolution may be explored. Nothing in these Terms requires individuals to surrender their right to seek assistance from an appropriate regulatory agency, government authority, or court. Where a dispute is properly subject to Massachusetts jurisdiction, proceedings may be brought before a court of competent jurisdiction, subject to applicable law and any valid separate agreement. These Terms do not impose mandatory arbitration, a class-action waiver, or an exclusive dispute resolution procedure. ### § 29. SEVERABILITY AND ENTIRE AGREEMENT If a provision of these Terms is determined by a court of competent jurisdiction to be unlawful, invalid, or unenforceable, that provision shall be interpreted or limited to the extent permitted by law, and the remaining provisions shall continue in effect where legally appropriate. Failure to enforce a provision on one occasion shall not necessarily constitute a waiver of the right to enforce that provision on another occasion. These Terms govern general website use and must be read together with any applicable separately posted Privacy Policy and service-specific agreements. They do not supersede mandatory legal requirements or automatically replace separately executed contracts. ### § 30.
